Draft for legal review

This is a complete draft, not approved wording, and it must not go live until a qualified person has reviewed it. This page differs from the other two: most of what belongs on it is not wording at all but registration details that only you hold. Every one of those is marked as outstanding below. The page cannot be finished without them, and publishing it without them would leave a legal duty unmet.

Legal Notice

Last updated: to be set on publication · Published under the Companies Act 2006 and the Electronic Commerce (EC Directive) Regulations 2002

01

Why this page exists

A UK business trading in England has no obligation to publish an Impressum. That is a requirement of German, Austrian and Swiss law, and it does not apply here.

It does, however, have duties that come to almost the same thing. The Companies Act 2006 requires a limited company to show its registered number, its registered office address and where it is registered on its website. The Electronic Commerce (EC Directive) Regulations 2002 require anyone providing a service online to make their name, their geographic address and a rapid means of contact easily, directly and permanently accessible, along with trade register and VAT details where they apply.

This page is where Lync HumanEdge meets those duties. It is titled Legal Notice rather than Impressum for that reason.

Needs a decision, not just drafting

This resolves an open question carried from the client deck, which used the title Impressum. The recommendation is to keep Legal Notice, or to use Company Information, unless there is a German-speaking market in view that has not been mentioned. If there is, the requirements are stricter than what is drafted here and the page needs redrafting against that country's law rather than against ours. Please confirm which it is.

02

Service provider

Lync HumanEdge, 7 to 9 Bridge Place, Worksop, Nottinghamshire, S80 1DT, United Kingdom.
Telephone 01909 484106.

Email to be confirmed on the new domain.

Outstanding

The email address. This is the one gap on this page with a specific legal edge to it: the Ecommerce Regulations require contact details, expressly including an electronic mail address, that allow a visitor to contact the provider rapidly and communicate directly and effectively. A telephone number alone does not satisfy that. The address must be in place before this page is published.

Outstanding

Confirm that the trading address above is also the address at which the business is established, and confirm the brand book's Leeds address is historic. The two source documents disagree, and this page is the one place where getting the address wrong has a legal consequence rather than a cosmetic one.

03

Company registration

Outstanding, and required by law

This section is empty because only you hold the details. If Lync HumanEdge trades through a limited company, the website must show the full registered name including Limited or Ltd, the company registration number, the registered office address, and where the company is registered, which will be England and Wales unless it is Scotland or Northern Ireland. If directors are named anywhere, all of them must be listed. If the business instead trades as a sole trader or a partnership, the Companies Act duties do not apply, the Ecommerce Regulations still do, and this section should say plainly what the trading structure is. Please confirm which applies.

Outstanding

Confirm the relationship between Lync HumanEdge and Lync Wellbeing, the business it was built on, and say whether they are the same legal entity, a trading name of one, or two companies. The website says the business has delivered workplace health since 2010, so a reader may reasonably want to know which entity they would be contracting with.

04

VAT

Outstanding

If the business is VAT registered, the number goes here, as the Ecommerce Regulations require it to be given where the provider is registered. If it is not registered, this section should be removed rather than left blank, because an empty heading invites the question.

05

Regulated activity and professional registration

Where our work is delivered by registered clinicians, they practise under the standards of their own professional bodies.

Needs a decision, not just drafting

This section needs real answers and it is not a formality. The Ecommerce Regulations require a provider exercising a regulated profession to publish the professional body it is registered with, the professional title, where that title was granted, and how to reach the applicable professional rules. Where an activity is subject to an authorisation scheme, the supervisory authority must be named too. So: does the occupational health offer involve doctors or nurses on the GMC or NMC registers, is any part of the service a regulated activity requiring registration with the Care Quality Commission, and is the service provided by Lync HumanEdge itself or by a separate established provider under contract? The website describes Occupational Health as delivered by an established provider, which if accurate should be stated here, since it changes who the visitor is actually dealing with. This is also tied to the open question about whether Occupational Health stays in the offer at all.

Responsibility for content

We are responsible for the content of this website. We prepare it carefully and we keep it under review, but we cannot guarantee that everything is complete and current at every moment.

Where we report a figure from published research, we name the source on the page it appears on and link to it, and the source is responsible for its own findings.

Checked against the build

The second paragraph describes something the build enforces rather than something the site merely intends. Every money or percentage figure on this website is checked against a list of verified, sourced figures, and the build fails if one appears that is not on that list, or if a figure names its source without linking to it.

07

Links to other sites

This website links to other websites, mainly to the published research behind the figures we quote. We check a link when we add it, but we do not control those sites and we are not responsible for their content or their availability. A link is not an endorsement. These links open in a new tab, and following one is your own visit to that publisher under their terms rather than ours.

08

Complaints and disputes

If something is wrong, please tell us first, by telephone or in writing to the address in section 02. We would rather hear about it than not.

Complaints about how we have handled personal data are dealt with under our Privacy Policy, which also explains your right to complain to the Information Commissioner's Office.

Outstanding

Confirm whether any alternative dispute resolution scheme or ombudsman applies, which will depend on the answers in section 05, and name it here if one does. Confirm too whether a written complaints procedure exists, and link to it if so.
